Deposits
Bookings are a minimum of one hour with fifteen-minute increments. All bookings require a 50% deposit unless otherwise stated on deposit invoice. Any change in schedule must be done 24 hours in advance; otherwise, the change will result in 50% forfeiture of the deposit.
Terms of Payment
All work is accepted on a C.O.D. basis unless other arrangements have been made in advance and have been listed on the invoice. Overdue accounts will be charged an interest of 2% per month. Customer agrees to pay all charges including legal fees incurred by Key of Sound studio in connection with collection of amounts owed to Key of Sound. Any claims of adjustment of an invoice must be presented in writing to Key of Sound Studios within 10 days of invoice date.
Sales Tax
Where applicable, the customer guarantees that the sales tax exemption number presented for their service is a valid government registered tax number.
Terms Regarding Use of Facility
Key of Sound will use its best efforts to ensure that all equipment will be in good working condition. Should time be lost due to equipment failure, Key of Sound agrees to credit customer for that portion of time for which the use of equipment was not in service. Except for above obligation Key of Sound shall have no further liability in connection with such equipment failure.
Modification
These terms of business can only be modified by an instrument in writing signed by an authorized represenative of Key of Sound.
Customer Liability for Infringement
The customer shall indemnify and hold Key of Sound harmless of and from all suits, claims, demands, and other liabilities and expenses, including legal fees and disbursements arising out of the production, distribution or exhibition of any film, tape, CD, or equivalent in connection with which Key of Sound shall have furnished any goods or service.
Limitation of Liability and Warranty
Key of Sound warrants that it will take every precaution for the safety of client’s materials in production or storage; however, Key of Sound assumes no risk and makes no guarantees unless such loss or damage is caused by the willful neglect of Key of Sound.
Key of Sound assumes no risk and makes no guarantees concerning the content of materials prepared for customers or delivery service arrival times of materials prepared for the customer.
Liens
In consideration of Key of Sound performing work for the customer, Key of Sound shall have a lien on all customers’ tapes, CDs, and cassettes until full payment for any due and outstanding balance on account is made.
